Rajah & Tann Singapore is acting as Singapore counsel in the merger of Baring Private Equity Asia and Swedish investment firm EQT AB, with a transaction consideration of 191.2 million new EQT ordinary shares and EUR 1.6 billion in cash. We have been working with Ropes & Gray and various international law firms in this multi-jurisdictional transaction.
The firm advised on the structuring of the transaction and the Singapore regulatory implications thereof, including the approval or notification requirements which might be triggered under various alternative structures. This deal was significant as it represented the biggest ever takeover of a private equity firm by another in the sector.
